The key agreement in a private power project is the PPA and the terms of the PPA must satisfy all stakeholders. In some jurisdictions the electricity markets have been liberalised and deregulated, while in others they remain bundled and regulated. PPAs have developed over the years and risk allocation has changed in some respects to keep pace with deregulation and liberalisation. This 2-day Power Purchase Agreements workshop will review the differing electricity markets and the constraints they impose on the structure of the structure of PPAs. The legal, commercial and technical provisions will be discussed in detail, as will risk allocation between the parties. Completion of the workshop will enable participants to understand the requirements for bankability, and to identify common, but sometimes fatal, drafting errors.
The workshop will take delegates through all phases of the development of a power project with the emphasis on the effective structuring and negotiation of the PPA. Main subjects covered in the 2-day workshop will be the basics of a power project, the electricity market, legal basics related to contracts, main features of the PPA, financing and bankability, tariff structure, important provisions of the PPA, risk management, and insurance. The delegates will also participate in group exercises and case studies.

As the CEO of PT JBCS Indonesia, course trainer has 40 years of diversified experience in the development, financing, construction and operation of major projects in the energy, mining and infrastructure sectors in the UK, USA, Peru, Canada, Bolivia, Ecuador, China, Vietnam, the Philippines, Brunei, Cambodia, and Indonesia.
He brings technical, commercial and legal expertise by virtue of holding an undergraduate degree in engineering, an MBA in International Business, an MSc in Construction Law and an LLM in International Legal Practice. Prior to incorporating JBCS, James was employed for almost 12 years as Senior VP with PT Paiton Energy (“PE”), the first IPP development company in Indonesia.
In 2007 he was given the responsibility to lead PE’s efforts in the development of the Paiton 3 Expansion Project (1 x 815 MW) and an integral part of this responsibility was the negotiation of the PPA.
Since incorporating JBCS, he has acted as advisor to a number of international and domestic companies in relation to the development of IPP projects, including PT Adaro Energy Tbk and PT Pertamina (Persero), for coal-fired and gas-fired projects ranging in size from 2 x 100 MW to 2 x 1,000 MW. James has unparalleled experience in Indonesian PPAs having been deeply involved in the negotiation of PPAs for a number of Indonesian IPP projects.
